Terms of Service

1. Agreement to Terms

By accessing or using ParlorHQ ("the Service"), operated by ParlorHQ ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

ParlorHQ is a software-as-a-service (SaaS) platform that provides freelancers with business management tools including client management, invoicing, time tracking, expense tracking, tax write-off capture, financial dashboards, and a branded client portal. The Service is provided on a subscription basis.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using ParlorHQ, you represent that you meet these requirements.

4. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during registration and to update it as necessary. Notify us immediately at hello@myparlorhq.com if you suspect unauthorized access to your account.

5. Subscription and Billing

• ParlorHQ offers monthly and annual subscription plans. Pricing is listed on our website and may change with 30 days' notice to existing subscribers.
• Founding Member and Early Adopter rates, where applicable, are locked for the lifetime of the subscriber's continuous subscription as stated at the time of enrollment.
• All payments are processed through Stripe. By subscribing, you agree to Stripe's terms of service.
• Subscriptions renew automatically unless canceled before the renewal date.
• We offer a 30-day free trial on standard plans. No credit card is required to start a trial.

6. Cancellation and Refunds

• You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.
• We do not provide prorated refunds for partial billing periods.
• Upon cancellation, you retain read-only access to your data for 30 days. After 30 days, your data may be permanently deleted.
• You may export your data (CSV, PDF) at any time, including during the 30-day post-cancellation window.

7. Your Data

• You retain ownership of all data you upload, enter, or generate through the Service ("Your Data").
• We do not sell, share, or monetize Your Data. We access it only to provide and improve the Service.
• You may export Your Data at any time in standard formats (CSV, PDF).

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Attempt to gain unauthorized access to any part of the Service or its systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Upload or transmit viruses, malware, or other harmful code.
• Use the Service to send spam, phishing, or unsolicited communications.
• Resell, sublicense, or redistribute the Service without our written consent.

9. Tax Disclaimer

ParlorHQ provides financial estimates, record-keeping tools, expense categorization, and tax savings calculations for informational purposes only. ParlorHQ does not provide tax, legal, or financial advice. The tax estimates, deduction categories, and savings figures shown in the Service are approximations based on general IRS guidelines and the information you provide. They are not a substitute for professional tax advice.

You are solely responsible for the accuracy of your tax filings. We strongly recommend consulting a qualified tax professional (CPA, enrolled agent, or tax attorney) before making tax decisions or filing returns based on information from the Service.

10. Third-Party Services

ParlorHQ integrates with third-party services including Stripe (payments), Plaid (bank connections), and others. Your use of these integrations is subject to the respective third party's terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

11. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by ParlorHQ and protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your business purposes. This license does not include the right to copy, modify, or create derivative works of the Service.

12. Limitation of Liability

To the maximum extent permitted by law, ParlorHQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

14. Indemnification

You agree to indemnify and hold harmless ParlorHQ, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

15. Modifications to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts located in Miami-Dade County, Florida.
